We are seeking an experienced Legal Counsel to join our team and play a key role in supporting our commercial operations, corporate matters, and business growth. We are looking for a talented legal professional with strong expertise in commercial contracts and corporate law to provide comprehensive legal support across our business activities. You will work closely with our sales, partnerships, and operations teams on commercial matters, while also managing key corporate governance functions and serving as the liaison with outside counsel. Key Responsibilities Commercial Contracts:
* Draft, review, and negotiate a variety of commercial agreements including customer contracts, vendor agreements, partnership deals, NDAs, and service agreements
* Provide practical legal guidance to internal stakeholders on commercial matters and contractual issues
* Manage contract lifecycle processes and maintain organized contract repositories
* Identify and mitigate legal and business risks in commercial transactions
* Develop and maintain contract templates and playbooks to streamline commercial processes Corporate Matters:
* Manage corporate governance matters including board resolutions, shareholders, and corporate records
* Handle equity-related matters including stock option plans, grants, and cap table management
* Support corporate transactions and financing activities
* Ensure compliance with corporate legal requirements and filings General Legal Support:
* Serve as primary liaison with outside counsel and manage external legal relationships
* Collaborate with cross-functional teams including Sales, Product, Finance, HR, and Operations
* Support compliance initiatives and ensure adherence to relevant regulations
* Advise on intellectual property matters related to commercial activities
* Stay current on relevant legal developments and industry best practices.

As part of our continued growth, were expanding our in-house Legal Team and are now looking for another Legal Counsel to join us. Our ideal candidate is an experienced High-Tech/technology lawyer. As a commercial lawyer, you will be working on a wide variety of commercial contracts, including services agreements and vendor agreements, privacy matters, as well as other general corporate, labor and privacy law advice.
You will:
Draft, review, and negotiate a variety of legal contracts with clients, partners, vendors, and third parties (services agreements, NDAs, DPAs, SaaS license agreements).
Assist with labor law and privacy issues
Interact and work with the company's departments (sales, product, marketing, finance, payments) on diverse legal issues.
Perform and provide other general corporate law advice as needed.

What You Will Be Doing

Lead and own negotiations for high-value commercial agreementsSaaS, OEM, MSAs, enterprise, channel and professional services deals across critical industries.
Serve as a strategic partner to sales, product, revenue operations, and executive leadersbalancing efficiency and risk management in a fast-growth environment.
Develop, maintain, and enhance commercial playbooks and contract templates to improve operational efficiency, ensure consistency, and support scalability.
Provide practical, business-aligned legal guidance that supports our long-term growth and compliance.
Remain up-to-date on relevant industry laws and regulations to ensure an ongoing ability to provide sound compliance advice.
