What will you be doing?

Handling legal aspects of commercial transactions, including licensing, distribution, cooperation, affiliation, and others (drafting, reviewing, and negotiating a broad range of agreements).
Overseeing corporate compliance in multiple jurisdictions in the group, and supporting day-to-day corporate governance and company secretarial matters.
Interact and work with the group's departments (sales, purchasing, Human Resources, R&D, operations and finance) on diverse legal issues in different jurisdictions.
Collaborate with, advise, and support cross-functional internal and external teams on a wide variety of legal matters relating to the companys day-to-day operations, including compliance and corporate governance in multiple jurisdictions.
Advising on day-to-day employment matters (employment agreements/social benefits) in various jurisdictions.
Partnering with various corporate teams, including supply, global finance, tax, M&A, operations, support, and business functions to implement various international corporate subsidiary projects.
Engaging with external legal counsels.

About the Role
This is a hands-on role with broad ownership. You'll act as our security lead, serving as the go-to person for all things governance, risk, and compliance - working directly with leadership, engineering, quality, and clinical teams. It's a great fit for someone with a few years of GRC experience who's ready to take on company-wide responsibility, not a traditional executive CISO position.

Responsibilities
Governance & Security Program
Build, implement, and maintain our Information Security Management System (ISMS) in line with ISO 27001.
Develop and enforce security policies, standards, guidelines, and procedures across the company.
Foster a culture of security awareness through training and ongoing communication.
Risk Management
Identify, assess, and prioritize cyber risks across our products, infrastructure, and vendors.
Conduct Business Impact Analyses (BIA) to map critical business functions and potential disruptions.
Own the risk register and drive mitigation plans with relevant stakeholders.

Compliance & Regulatory Alignment
Ensure compliance with healthcare and privacy regulations, including HIPAA and GDPR.
Support regulatory and quality processes relevant to medical device software (e.g., working alongside our QA/RA team on standards such as ISO 13485 and IEC 62304 where security intersects).
Manage security aspects of customer, partner, and vendor due diligence, including security questionnaires and audits.
Resilience & Incident Preparedness
Design and maintain Business Continuity (BCP) and Disaster Recovery (DRP) plans.
Define and test incident response procedures; lead response efforts when needed.
Run periodic tabletop exercises and recovery drills.
Security Operations & Engineering Collaboration
Work with engineering to embed security requirements into the development lifecycle of our mobile and cloud platforms.
Coordinate penetration tests, vulnerability assessments, and remediation follow-up.
Evaluate and manage security tooling appropriate to our size and needs.

Advising and supporting clients, primarily in aspects related to the corporate world.

The work includes conducting due diligence reviews and drafting legal documents related to transactions, including DD reports.

In addition, the role includes advising and supporting international and Israeli companies, mainly in the high-tech sector, on labor and employment law matters, drafting various agreements, hearing summons, termination letters, legal opinions, and the like.

Associates in our corporate group advise clients in some of Israel's largest M&A, capital markets and investment and financing transactions. Our clients range from entrepreneurs, start-ups, and technology companies, to venture capital funds, strategic buyers, and major private equity funds. We assist clients in all stages of their transactions, including drafting transaction documents, negotiations, due diligence, and providing legal advice.

Our corporate associates take an active role in some of the most significant transactions in the market, representing innovative and pioneering companies from Israel and abroad, and helping them achieve their business goals and make their technological ideas a reality.

The role includes advising Israeli and international consortia participating in complex tenders, including analysis of the tender documents, assistance in structuring the consortia, support in preparing bids.

The role further includes negotiating and drafting the financing documents and project agreements, such as construction agreements, operation agreements, and similar agreements, as well as providing ongoing support to sponsors or lenders following financial close.

Ongoing counsel to reporting corporations whose securities are listed on the Tel Aviv Stock Exchange in securities matters, disclosure and reporting requirements, corporate law and governance.
Advising reporting corporations in a variety of equity and debt raising transactions and in M&A transactions.
Advising reporting corporations in their interactions with the Israel Securities Authority, the Tel Aviv Stock Exchange and other regulators.
Advising companies in carrying out initial public offerings, writing prospectuses and the process of a company's transition to a public company.
Representation of boards of directors, directors, special committees and shareholders.
Preparing legal opinions on securities and corporate law matters.
Assistance in litigation proceedings in corporate and securities fields.
