We are seeking a highly skilled Senior Corporate Counsel to join our Legal Department. This role is a cornerstone of our corporate strategy, focusing on equity financing, governance, and the legal management of our global group. You will report directly to the General Counsel and partner closely with Finance, Tax, People, and senior management to drive complex transactions and scale our legal infrastructure.
The ideal candidate is a strategic thinker who balances high-level legal expertise with a hands-on, "ownership" mindset.
Responsibilities
Corporate & Financing Strategy: Lead equity financing rounds (from structuring and due diligence to closing), manage the cap table, and take end-to-end responsibility for the companys equity incentive plans.
Governance & Entity Management: Own corporate governance (Board and shareholder matters, resolutions, and compliance) and oversee the legal maintenance of global subsidiaries and inter-company frameworks.
Legal Advisory: Provide day-to-day legal support to internal teams (Finance, HR, R&D, etc.) on commercial, employment, and regulatory matters, ensuring adherence to company policies and applicable laws.
Strategic Support: Partner with the General Counsel and executive team on strategic transactions, audit requirements, and the scaling of legal processes to support rapid growth.
Requirements: LL.B. or J.D. from an accredited law school; licensed to practice in Israel, the US, and/or another common-law jurisdiction.
6+ years of legal experience in corporate, commercial, and employment law, ideally combining a top-tier law firm background with in-house experience at a technology company.
Solid knowledge of corporate law, venture capital structures, and international subsidiary management.
Execution & Ownership: A proactive problem-solver with exceptional organizational skills, comfortable managing multiple complex workstreams in fast-moving situations.
Trusted Communicator: A high-integrity professional who works effectively with stakeholders at all levels, including senior management and board members.
Experience with late-stage private companies is a significant plus.
